Terms and Conditions

Please note the following Terms and Conditions carefully, as they explain the nature and scope of the relationship between Nuvoco and a Member of the MAITREE program. The Terms and Conditions given below are intended to protect rights for both Nuvoco and you as MAITREE Member. Every member is bound by these Terms and Conditions.

Terms and Conditions for Nuvoco MAITREE

Definitions:

In these terms and conditions, unless the context specifies otherwise:

  1. 'Nuvoco' means Nuvoco Vistas Corp. Ltd.
  2. ‘MAITREE' means the Nuvoco Dealer rewards, relationship and recognition initiative owned, managed and operated by Nuvoco, which will provide benefits, rewards and recognition to select Nuvoco Dealers.
  3. 'Member' means a Nuvoco Dealer who is admitted by Nuvoco into the program.
  4. 'Nuvoco Dealer' means an intermediary who purchases cement from Nuvoco for resale to others such as retailers, customers, builders etc.
  5. ‘Year’ means the period between January to December coinciding with Nuvoco's financial calendar.
  6. ‘Month’ means a calendar month.
  7. ‘Benefit’ means the rewards and facilities that are given to a member under the MAITREE program based on pre-defined criteria.
  8. ‘Rewards’ are the gifts offered by Nuvoco, from time-to-time at its sole discretion, to members of the MAITREE program, against redemption of points earned by them.
  9. ‘Bonus Points’ mean bonus points which will be credited to the members. These may be occasion-specific or variable bonuses as specified by Nuvoco for a specific scheme or occasion.
  10. ‘Helpdesk or Helpline’ means the service center for resolving members' queries in connection with or related to MAITREE only.
  11. ‘Retro-Credit’ means facilitating the Credit of points to members based on booked purchases with retrospective effect as on the date of the transaction. Likewise, in case of ‘Retro-Debit’, for any sale transaction reversed in the system, there will be a corresponding debit of the points accrued in respect of such transaction with retrospective effect from the date of the transaction.
  12. ‘Base Points’ means the points earned by a member of MAITREE for the purchase by the member from Nuvoco.
  13. ‘Member ID’ means Dealer Code.
  14. ‘Service Partners’ shall mean the implementation agency and other in-house or contract service providers.
  15. ‘Programme’ shall mean the MAITREE rewards program.
  16. ‘On-going Programme’ means the program validity shall continue as long as it is not expressly terminated by Nuvoco. It is a long-term initiative by Nuvoco.

Eligibility and Membership:

Conditions for Use:

  1. Member status and benefits of the MAITREE program are offered at the sole discretion of Nuvoco.
  2. A Nuvoco dealer is invited to become a member of the Nuvoco MAITREE program if their purchase is equal to or greater than the specified threshold entry tonnage during a rolling 12-month period.
  3. Any change in the name, address, constitution or other information relating to the member must be notified to Nuvoco in writing as soon as possible.
  4. The membership levels are decided basis the dealers purchase quantity over a predefined 12-month rolling period.
  5. Nuvoco reserves the right to refuse and cancel membership of the program without assigning any reason and without prior notification.
  6. The member permits and authorizes Nuvoco and its service partners to use their data for administrative, communication, research and marketing purposes.
  7. Only dealers with valid Nuvoco Dealer ID are eligible for membership. If the dealer id is terminated by Nuvoco for any reason whatsoever, Nuvoco's decision in this regard being final and conclusive, Membership ID will also be terminated.
  8. In case a membership expires or is terminated, the member will be given a chance to redeem all unexpired points in the following redemption window, after which the points will lapse/expire.
  9. Retro-Credits will be allowed against submission of proof of transaction.
  10. In case of cessation of the dealer entity, points expire and will not be inherited by any family member or be otherwise transferable.
  11. Any personal details and data acquired from your participation in MAITREE will be used only in accordance with the Nuvoco’s Privacy Policy.
  12. Application for membership of the Maitree program will be deemed that the applicant-dealer has read and understood the terms governing the program and has irrevocably undertaken to be bound by the same.

These Terms of Use will be governed by and construed in accordance with the laws of India and the Courts in Kolkata shall have exclusive jurisdiction over any disputes arising out of the program or the Terms and Conditions thereof.

Rewards and Benefits:

  1. All members who are enrolled into the Nuvoco MAITREE program by Nuvoco are entitled to earn points which can be redeemed for rewards that will be sent to the members in accordance with the Terms and Conditions specified.
  2. All rewards-related communication will be mailed to the mailing address as specified in the enrolment form.
  3. Points issued in the Nuvoco MAITREE program have no monetary value and cannot be sold or transferred by members in any manner at any point of time or be redeemed for cash. These points may only be exchanged for rewards on offer under the prevalent schemes.
  4. The points earned by members are valid till members are dealers of Nuvoco. In case a membership expires or is terminated, the member will be given a chance to redeem all unexpired points in the following redemption window, after which the points will lapse/expire. In case of termination of dealership for whatever reason, all points shall lapse/expire. Nuvoco’s decision in this regard shall be final and conclusive.
  5. No purchase/sale/transfer of points or benefits is permitted. The member can only earn points as per the conditions specified in the program.
  6. Rewards and benefits will be delivered to member address only and not to any other address.
  7. No cash top-up or cash reimbursement for points or benefits will be given at any time.
  8. All members will, on a monthly basis, receive a statement containing the points earned/accrued.
  9. In case of death of a member, benefits will not accrue to any other family member.
  10. In case of cessation of dealership, membership will expire and shall not be inherited by any family member.
  11. Selection of rewards and benefits is and will be at the sole discretion of Nuvoco. They are liable to change without notice.
  12. Nuvoco holds out no warranty and makes no representation (whether expressed or implied) about the goods and/or services manufactured/supplied by third parties that are offered as benefits to members of the program particularly with regard to their quality or suitability for any purpose. Nuvoco shall not be liable if the said goods/services are defective/deficient in any manner. Complaints in this regard shall have to be addressed to the concerned third parties from whom the goods or services originate as benefits/rewards under the program.
  13. Nuvoco cannot accept responsibility for any delays in delivery of rewards or benefits.
  14. Nuvoco will not be responsible for rewards or benefits that are stolen, damaged or lost in transit before delivery to the member.
  15. All rewards and benefits offered by Nuvoco are on a best-effort basis. In case a member is not offered a particular reward or benefit or if Nuvoco does not make a particular reward or benefit available, Nuvoco will not be liable to compensate in any way.
  16. Product once redeemed can be cancelled within 2 days from the date of order. Order Cancellation request submitted after 2 days will not be accepted under any circumstances.

General:

  1. Nuvoco reserves the right to withhold rewards and benefits or terminate the membership of a member if such member breaches the Terms and Conditions of this program. Upon such termination, all benefits standing to the credit of the member shall be lost without the member being entitled for any compensation therefore and the member shall be barred from future membership.
  2. The program does not have any pre-determined date of termination and shall be in force until Nuvoco, at its sole discretion, terminates the program.
  3. Nuvoco reserves the right to add, modify, delete or otherwise change the Terms and Conditions.
  4. The program and any rewards or benefits there under, offering or the like relating to the program shall not constitute or deemed to constitute a contract or otherwise establish a contractual relationship between Nuvoco and any member.
  5. Nothing herein is intended to or shall be construed as creating or establishing any agency, partnership or joint venture relationship between Nuvoco and the member or service partner.
  6. Members shall be responsible for their own awareness and updating themselves with the program rules and their entitlements and eligibilities.
  7. All communication and benefits shall be sent by mail or handed over to members at the address mentioned in the Enrolment Form. Nuvoco and/or its service partners shall not be liable for the failure of any communication to reach the member, it shall be the responsibility for the member to inform Nuvoco about any change in address and Nuvoco bears no responsibility for communication lost or not received.
  8. All communication will be deemed to have been received by the member within 7 days of dispatch of the communication. All communication by the member to Nuvoco shall be deemed to have been received on actual receipt.
  9. In the event of dispute in connection with the program and the interpretation of these Terms and Conditions, Nuvoco’s decision shall be final and binding. The program shall be governed by the laws of India and all disputes will be subject to the exclusive jurisdiction of the courts in Kolkata.

The Terms and Conditions given herein will be final and binding. Additionally, for all intents and purposes, the Terms and Conditions in English will be final and binding and will prevail over the Terms and Conditions in any other language.
